HireTrade Terms of Use

This Agreement is made and entered between HireTrade LLC, a Virginia limited liability company (hereinafter “HireTrade” or “we”) and you, the user (hereinafter “User”, “you”, or “Professional” or “Hiring Party”, as appropriate). “Hiring Parties” include all individuals or entities using our service to find Professionals for Projects or Jobs. All Users, including Hiring Parties and Professionals, to any work facilitated by the HireTrade website agree to adhere to and be legally bound by the following Terms of Use. HireTrade and other parties may bring actions to the fullest extent of the law for violations of these Terms of Use or for violations of any applicable laws.

Any agreement to perform services facilitated by the HireTrade website (the “Website”) is between the Professional and the Hiring Party, and HireTrade’s role is limited to providing the platform to allow Hiring Parties to find and connect with Professionals, and vice versa. The parties to any particular agreement for services facilitated by the Website are entering into service agreements with one another and not with HireTrade and thus do not have recourse against HireTrade. Under no circumstances does HireTrade become the employer of the Professional, nor does HireTrade guarantee, warrant, or insure the services provided by the Professional or Hiring Party.

All HireTrade Users, including Professionals and Hiring Parties, are expected to abide by the highest ethical standards. The system of the Website is dependent upon the honesty, truthfulness, and fair dealing of all Users. Attempts by Users to coerce, defraud, or deceive any other User are strictly prohibited and may be prosecuted by HireTrade or other parties to the fullest extent allowed by law, in addition to resulting in an immediate and permanent ban from the system.

Professionals agree to provide accurate and truthful information in their profiles on the HireTrade Website and Hiring Parties agree to provide truthful information on their profiles and in project postings. Professionals agree to do their best to accurately classify their areas of expertise and specialties and Hiring Parties agree to do their best to accurately classify projects within a given specialty. Furthermore, Professionals agree that, by creating a profile on HireTrade, Professionals explicitly give permission to be rated by Users with respect to services provided on past projects and explicitly grant HireTrade permission to publish, aggregate, or otherwise use such ratings data on the Website. Hiring Parties agree to give honest and truthful ratings and not be influenced by third parties, other agreements, or anything other than the actual performance of the Professional during the course of such project or job. Furthermore, Hiring Parties agree that the ratings given on a project are to be based solely on your own views of the value of the work done for you by the Professional on the applicable project and not the views of other parties on other projects. Fraudulent or deceitful ratings or data submission likewise are impermissible. HireTrade does not endorse and is not otherwise responsible for the ratings given by any party.

We cannot and do not verify the accuracy of all user submitted content, including profile information entered by the User. Furthermore, while we make reasonable efforts to ensure that the HourlyValue Ratings and other algorithms are functioning correctly, there may be inaccuracies and loss of data. It is the User’s responsibility not to rely solely on the HourlyValue Ratings information when selecting a Professional as, in addition to potential inaccuracies generated by Users, the system may contain inaccuracies or faulty data. Furthermore, all Users are free and encouraged to contact one another through any means prior to engaging another User on a project or job and thus all Users have the ability to do their own due diligence prior to engaging such other User on a project. Users agree not to hold HireTrade or any other party accountable for the selection of a Professional or Hiring Party for a project or job.

The HourlyValue Ratings System is a proprietary patent-pending system. The HourlyValue Ratings are intended to simply aggregate the opinions of Hiring Parties on previous jobs or projects and do not guarantee a similar result on future projects. All projects and jobs are unique and, by displaying and/or aggregating the past HourlyValue Ratings data on the Website, neither HireTrade nor the Professional guarantees the results to be provided by such Professional on future projects. Furthermore, the mere displaying of the HourlyValue Ratings data on the Website does not constitute an endorsement by HireTrade.

We do not condone fraud, untruthful, derogatory, inflammatory, or inappropriate comments in profiles or project and job postings. While we encourage the open and free flow of information in profile and project/job postings, we do not endorse or warrant any of the statements expressed therein. Furthermore, we will not tolerate personal attacks against individuals or other entities and we reserve the right to edit or delete any offensive postings as well as ban users from the site for such statements.

We will not disclose individual ratings scores to any Users. Only the average scores received by a Professional are viewable by certain Users. Neither Professionals nor Hiring Parties have any right to view the individual ratings given or received. If you feel an error has been made with respect to your average ratings, your only recourse is to have HireTrade review the ratings to make sure our formulas are calculating correctly based on the individual scores. Only HireTrade has the right to view individual scores and we will not disclose individual scores to Users in the course of our review of our algorithms and calculations. If after reviewing your average HourlyValue Ratings, you feel that your work is worth a better rating and there is no evidence of fraud, deceit, bribery, or any wrongdoing when ratings were submitted by parties with respect to your work on projects and jobs, then we will not delete rating scores. However, you may delete your profile, including ratings data at any time.

Professionals are explicitly authorized to refer to the HireTrade Website and the Professional’s own HourlyValue Ratings on their resumes or their own personal or company websites or other materials, provided the HireTrade Website is properly credited and the information published by the Professional accurately reflects the ratings and other information as published on the Website. Furthermore, Hiring Parties are explicitly authorized to refer to and link to the HireTrade Website, including to specific project and job postings on the Website. Any use of HourlyValue Ratings or other information pertaining to the HireTrade Website on such third-party website or materials must not be fraudulent, misleading, or derogatory.

We reserve the right to delete or edit all user-generated content, including but not limited to all profile and job/project posting information if such content contains fraudulent or inappropriate material and/or subject matter not within the scope of the Website. As set forth earlier, while we will often attempt to verify the source of ratings and honesty of ratings information, generally we will not edit ratings, unless the ratings are determined by HireTrade to be untruthful, fraudulent, or otherwise not appropriate.

All Users of the Website recognize that HireTrade does not have any employment relationship with any of the parties.

Hiring Party is responsible for the selection of Professionals, including conducting any and all investigations into Professional’s background prior to engagement. Neither HireTrade nor any other third party warrants or guarantees the Professional’s character, technical expertise, or ability to obtain any specific results. When a connection is made using HireTrade, the Professional’s work is not performed under the direction, supervision, or control of HireTrade. Hiring Party agrees to indemnify, hold harmless and defend HireTrade against any and all claims, damages, lawsuits, expenses (including attorney’s fees) and other liabilities which result in any way from the services provided by Professional to Hiring Party or the results obtained there from, or any liability arising from any change in Professional’s responsibilities, any violation by Hiring Party of OSHA or similar state communication and safety regulations, or from any injuries resulting from product liability or design defects of products on Hiring Parties’ premises, any labor violations committed by Hiring Party, or any civil action brought against Hiring Party for actual or alleged legal malpractice. Furthermore, Hiring Party agrees that it will not bring a claim against HireTrade, either directly or indirectly against a third party, whereby HireTrade will in any way be liable or responsible for the acts or omissions of Professionals that Hiring Party found using the HireTrade service. It is agreed that Hiring Party’s only recourse is against the Professional who has been hired by Hiring Party to perform the particular actions or tasks agreed upon. HireTrade is not responsible for liability or bond insurance claims.

Professionals are responsible for the selection of Hiring Parties for whom they will perform services on projects. As such, Professionals agree that they will not bring a claim against HireTrade, either directly or indirectly against a third party, whereby HireTrade will in any way be liable or responsible for the acts or omissions of Hiring Parties that Professionals found using the HireTrade service. Furthermore, Professional agrees to indemnify, hold harmless and defend HireTrade against any and all claims, damages, lawsuits, expenses (including attorney’s fees) and other liabilities which result in any way from the services provided by Professional.

HireTrade merely serves as a facilitator and not a party to any transactions entered into between Professionals and Hiring Parties. HireTrade does not warrant or guarantee the accuracy of any of the information contained on the HireTrade website, including information entered into by Professionals and Hiring Parties.

HireTrade does not critique employment nor have control over any engagement or the performance thereof. Furthermore, HourlyValue Ratings are given directly by Hiring Parties to Professionals and not under the direction, supervision or control of HireTrade.

HireTrade does not practice law nor provide legal services. Because HireTrade does not practice law, we do not, nor do we have the capacity to perform conflicts checks. Therefore, if applicable, the Professional and Hiring Party must perform all such checks prior to commencing any project or job and it is the responsibility of the Professional to notify Hiring Party of any conflicts that may arise during the course of any project or job facilitated through the use of the HireTrade website. Furthermore, HireTrade does not assume any responsibility for reviewing, examining or verifying either the project or job furnished to the Professional, or the work product produced by the Professional. Likewise, HireTrade does not and will not exercise any control or influence over the Professional’s judgment on any project, job, or assignment.

Attorneys should refer to their bar rules regarding advertising to determine the rules regarding advertising their services.

HireTrade LLC is structured as a limited liability company. Material contained throughout the HireTrade website is proprietary and subject to trademark, copyright, and patent protection, where applicable, including, but not limited to, the patent-pending HourlyValue Ratings System and HireTrade. Except as set forth herein, Users and visitors to the Website may not copy, incorporate, alter, or otherwise use any of the information contained anywhere within the HireTrade Website, including but not limited to all contents, information, formulas, concepts, and source code, without the express consent of HireTrade. Third-party brands and names contained herein and throughout the Website are the property of their respective owners.

HireTrade has the right to amend this Terms of Use at any time and subject all Users to the revised Terms of Use. It is the User’s responsibility to review the Terms of Use frequently for any applicable changes.
